Peru: AmBev agreed to sell 25% stake in AmBev Peru to Grupo Romero

Brazilian AmBev (Compania de Bebidas de las Americas), the world's No. 5 brewer, has agreed to sell a 25 % stake in its Peruvian operation to local conglomerate Grupo Romero, the company said on March 9, according to Reuters.

"This operation will allow AmBev to benefit from Grupo Romero's know-how, strengthening AmBev Peru," the company said in a statement.

AmBev, a unit of InBev, the world's biggest brewer, did not give details of the transactions, but said it would also give Grupo Romero the option to lift its interest to 30 percent in AmBev Peru.

AmBev's main rival in Peru is SABMiller's subsidiary Backus & Johnston. Backus has 99 % of the market with its Pilsen, Cristal and Cusquena brands.

Peru has one of Latin America's lowest per capita beer consumption rates, making it an attractive market.

Grupo Romero has businesses ranging from banking to food and logistics.


Russia: Baltika shareholders give green light to merger with Pikra, Vena and Yarpivo

Baltika Breweries, the leading brewer in Russia and Eastern Europe, announced on March 9 that its shareholders have voted in favour of the proposed merger of Baltika with brewing companies Pikra, Vena and Yarpivo. An overwhelming majority of Baltika shareholders voiced their approval for the deal at the March 7 extraordinary general shareholders meeting. When completed, the merger will reinforce Baltika's position as Russia's number one brewer, and double the number of its breweries from 5 to 10.

Baltika Breweries President Anton Artemiev commented: "I am absolutely delighted that Baltika shareholders have voted in favour of the merger with Pikra, Vena and Yarpivo. Baltika is a highly successful, world-class company that Russia can be proud of. This merger enables us to strengthen our position as the leader in the highly competitive domestic market and gives us an extended platform for international expansion."

In accordance with Russian legislation, only non-affiliated minority shareholders of Baltika were eligible to vote on the merger resolutions on the agenda of the EGSM. USA: Boston Beer reports 16% increase in fourth quarter net revenue

The Boston Beer Company, Inc., brewer of Samuel Adams Boston Lager, announced on March 7 it achieved fourth quarter 2005 net revenue of $64.8 million, an increase of 16% over fourth quarter 2004. The increase was driven by a 14% increase in shipment volume and a 1.8% increase in net revenue per barrel as compared to the same quarter last year. Fourth quarter 2005 diluted earnings per share were $0.16 and net income was $2.3 million, a decrease of $0.03 per diluted share and $0.6 million, respectively, from the same quarter last year. For the fiscal year ended December 31, 2005, the Company recorded diluted earnings per share of $1.07 and net income of $15.6 million, up $0.21 per diluted share and $3.1 million, respectively, from the 2004 fiscal year. Net revenue increased by 9.7% to $238.3 million in 2005 compared to 2004 net revenue.

Australia & Japan: Lion Nathan says Kirin not moving to boost stake

Australian brewer Lion Nathan Ltd. said its major stakeholder Kirin Brewery Co. had no current intention of increasing its shareholding in the company, in response to comments from the Japanese brewer's president to Reuters, Reuters communicated on March 9.

Lion Nathan shares jumped nearly 5 percent after Kirin President Kazuyasu Kato said in an interview earlier on Thursday that the company was waiting for a chance to increase its stake in Lion Nathan, but no timing for such a move had been set.

"Their business is attractive, and we would consider (raising the stake) when the time is right," Kato said. He added: "We do not intend to launch a hostile takeover."

Lion Nathan said Kirin was "extremely pleased" with its investment but had told the Australian brewer that there were no immediate plans to raise its stake.

"Kirin has confirmed that it currently has no intention of increasing its stake in Lion Nathan, which stands at 46 percent of issued share capital," the company said in a statement to the Australian Stock Exchange.

Lion Nathan shares closed up 4.7 percent at A$8.64 in a wider Australian market up 0.4 percent. ($1=A$1.37)


Mexico: Grupo Modelo prevails in the arbitration against Gambrinus

Grupo Modelo, Mexico's leading company in the brewing, distribution and sale of beer -- received notice on March 9 that it has prevailed in the arbitration initiated by The Gambrinus Company, its current importer for the Eastern territory of the United States. The arbitral award confirms that the importer agreement with Gambrinus will expire on December 31, 2006.

Mr. Carlos Fernandez, Chairman and CEO of Grupo Modelo, stated: "The arbitral award, in our favor, will allow us to seek the best available options with the aim of enhancing the value of our export business and create more value for our shareholders." Mr. Fernandez further added: "We are very confident that the transition process ahead of us will in no way harm or disrupt our export operations into the U.S. market and we will take all necessary measures to assure that the supply of our products to the distribution network in the east will continue".

Thailand: ThaiBev goes ahead with Singaporean Listing

Thai Beverage Plc (ThaiBev) will go ahead with listing plans on the Singaporean bourse despite mounting pressure from protestors opposed to the Shin Corp share deal with Temasek Holdings, Bangkok Post posted on March 9.

The nation's biggest alcoholic drinks producer announced yesterday that it would move forward with earlier plans to list on Singapore Stock Exchange (SGX), despite calls from some factions to boycott the country's products.

Kasemsant Weerakul, ThaiBev's vice-president for corporate communications, said the filing was expected to be submitted to SGX once ThaiBev's financial results were approved by the company's shareholders at the end of this month. "The listing plan is not involved with the current [political] situation. The listing is part of our previous plans," he said.

He added that the company's first choice had been to list on the Stock Exchange of Thailand, but protests from religious groups had led Thai Beverages to put these plans on hold. However, the firm still wanted to list on the SET.

Russia: Malt Imports decreased by 38% last year

Russia has a malt capacity of 1.4 million tonnes. Malt imports in 2005 were 344,000 tonnes versus 555,000 tonnes in 2004.

In last quarter of 2005 imports were only 45,000 tonnes.

For 2006 analysts has prognosticated malt imports at 150,000 tonnes. Malt imports are needed, if at all, for reasons of quality.

EU: The actual stocks and market situation in the EU

The actual stocks and market situation in the EU is as follows:

Total
intervention stocks (accepted and to be accepted by authorities) are 17.5 million tonnes. Countries with the largest stocks are Hungary 6.9 million tonnes, Germany 5.4 million tonnes (1.7 million tonnes old rye stocks), Poland 1,4 million tonnes. Major commodities are wheat 8.8 million tonnes, maize 5.6 million tonnes. Barley at 1.4 million tonnes is a lesser burden.

Barley export licence bookings have reached 2.5 million tonnes. Competition from Black Sea barley in world markets has decreased, but also demand is sluggish. Total EU barley exports may reach about 3.7 million tonnes, as forecast by the IGC, London.
