Slovak Republic: SABMiller buys stake in Slovakian brewer Topvar

SABMiller has purchased 48.4% of the Slovakian brewer Topvar following receipt of approval from the Slovak anti-monopoly office earlier this month, with further share purchases in the pipeline.

Under the terms of the agreement, the controlling shareholders will sell further shares to give SABMiller an increased interest in the group to at least 67% by the end of September.

The remaining shares, held by the controlling shareholders, are subject to put-and-call arrangements exercisable within 18 months of SABMiller acquiring the additional shares.

The deal to acquire Slovakia's third-largest brewery was an estimated value of $15-million (as measured by net-asset value). SABMiller already owns the country's largest brewer, Saris. The transaction was originally announced back in May 2005, and makes SABMiller the country's largest brewer by volume, ahead of Heineken.

Topvar sold 569 000 hectolitres of beer in 2004, and had a net-asset value of $15,2-million. Industry analysts said the company's enterprise value, including debt, was approximately $49-million. Estonia & Lithuania: Olvi Plc has increased its holding in the Ab Ragutis Brewing Company

Olvi Plc announced on March 20 that its wholly owned Estonian company, AS A. Le Coq, has increased its holding in the Lithuanian AB Ragutis brewing company by 11.0 percent. After the transaction AS A. Le Coq owns 94.0 percent of the Lithuanian AB Ragutis company based in Kaunas.
The total sales of AB Ragutis operating in Lithuania increased to 36.4 (29.8) million litres in 2005. The aggregate increase in sales amounted to 6.6 million litres or 22.3 percent compared to the previous year. Net sales stood at 15.0 million euro, representing an increase of 2.5 million euro or 20.4 percent on the previous year.

The average number of personnel during the period under review was 182 (180) in Lithuania. At the end of the year, the company?s market share in beers stood at 10 percent.

Finnish brewer Olvi posted a 2005 pre-tax profit of 11.2 million euros, up from 7.3 million in 2004, thanks in particular to the solid performance of Estonian subsidiary A Le Coq Tartu ?lletehas. UK: Wolverhampton & Dudley Breweries acquires Celtic Inns for GBP 43.6 mln

Wolverhampton & Dudley Breweries PLC (W&D) announced on March 20 it has acquired Celtic Inns Holdings Ltd for GBP 43.6 mln on a debt and cash free basis from Dunedin Capital Partners, Dr Ainsworth and existing management and employees of Celtic. In such a way W&D has strengthened its hand in South Wales.

The purchase price is understood to have included about GBP23m of debt - suggesting the four-man board of Celtic and its 20 or so employees will share about GBP11m of the roughly GBP20m of equity value realised.

Wolverhampton & Dudley said it expects the acquisition to generate annual purchasing synergies of GBP 0.2 mln. The total amount payable for Celtic is subject to an adjustment based on net working capital at completion.

Wolverhampton & Dudley said it paid for most of the purchase in cash from existing bank facilities with certain employee shareholders receiving loan notes.

Czech Republic: Czech Plzensky Prazdroj can conclude contracts on minimum beer sale

The Czech brewery Plzensky Prazdroj can sign contracts with restaurant operators on a minimum annual beer sale, as anti-monopoly office UOHS chairman Martin Pecina allowed an exception for the fir, the Prague Monitor announced on March 21.

The Czech brewery pledged to lower the minimum annual beer delivery to restaurants in new contracts if they show interest. Within the latest appellate proceedings, Prazdroj created conditions that will help develop competition on the market, Pecina told CTK on March21.Some contracts on minimum beer purchases said that restaurant operators had to buy as much beer from Prazdroj as they sold. Prazdroj offered them in exchange, for example, promotion articles with its logo.

"The buyer will now be able to buy beer from rival producers without losing the advantages stemming from the contract signed with Plzensky Prazdroj," Pecina explained. Prazdroj asked for an exception after UOHS first-instance decision in 2003 when it was fined CZK 2.3 million for restricting competition.

Restaurant owners who had concluded contracts with Prazdroj on minimum deliveries do not have to buy now from Prazdroj the same amount of beer as in 2003-2005. The UOHS has lowered the amount to 70 percent.

USA: Anheuser-Busch warned job cuts and decreased state revenue if a beer excise tax increase

Anheuser-Busch warned of job cuts and decreased state revenue if a beer excise tax increase included in New Jersey Governor Jon Corzine's budget proposal released earlier on March 21 is passed. The nation's largest brewer, which operates a brewery in Newark, encouraged state lawmakers to reject this shortsighted proposal and seriously consider the cumulative effect such a tax would have on the state's beer industry and the overall state economy, Anheuser-Busch announced on March 21.

"Most beer drinkers are hardworking men and women who want to enjoy a beer after a hard day's work or with friends at the local bar on weekends," stated Jerry Mullane, region vice president for Industry and Government Affairs at Anheuser-Busch Companies. "We believe it is unfair to single out one segment of society and expect them to pay for government services that benefit everyone. We are proud to be a major employer in New Jersey for more than 50 years. Raising taxes even further will threaten the jobs and livelihood of the tens of thousands of New Jerseyans employed in our industry, as well as place a burden on our customers."

United Kingdom: In January 2006 UK exported 15,869 tonnes of malt

During July 2005-January 2006 United Kingdom exported 160,734 tonnes of malt, a decline by 24.5% year-on-year, according to HGCA figures published on March 16. Of these 11,296 tonnes were exported to EU countries and 149,438 tonnes to non-EU countries.

During January 2005 UK exported 15,869 tonnes of malt, an increase by about 3% compared to January 2005. Of these 6,667 tonnes to Japan; 1,138 tonnes to South Korea; 743 tonnes to Malaysia; 3,870 tonnes to Thailand; 408 tonnes to China; 298 tonnes to Jamaica; 372 tonnes to Trinidad & Tobago; 841 tonnes to Uganda; 472 tonnes to USA etc. In January 2005 UK exported 15,417 tonnes of malt.

Denmark: Dragsbaek malting plants have been sold to Fuglsang family

Dragsbaek malting plants were sold to the family Fuglsang, according to press communication.
In such a way Dragsbaek will integrate into the group Sophus Fuglsang Export Maltfabrik A/S- a group run by the family Fuglsang in the 5th generation with the headquarter in Haderslev since 1865.

Dragsbaek Maltfabrik A/S, which was founded in 1873, was owned by the same family for 6 generations. Originally, the Company started as a brewery with its own malting facility. In 1920 however, the brewing ceased and all efforts were put into malt production. Up to 1947 the production was sold domestically only. Since then the capacity has gradually been increased and today it amounts to 110,000 tonnes of malt of Pilsen and Munich type. While increasing its production, the Company has built up a considerable export to a large number of countries all over the world. Today the export share has been of about 75%.

Ireland: Mallow beet factory closure set to hit price of barley

The price of barley next autumn is already being talked down following the announcement last week that Mallow beet factory will close in May, Irish Independent communicated March 1.

Grain merchants are saying they will be sold out of spring barley seed in the next few days. They are also reporting strong orders for spring oilseed rape. Tillage farmers now fear the market will be swamped with spring barley next August as it is one of the few crops that beet growers can still sow this late.

Head of Tillage research in Teagasc Oak Park, Jimmy Burke, said it was very unfortunate that the decision to close the factory had been made so late.

"Tillage farmers have very few options for their land this late in the sowing season. If the decision had been made earlier, farmers would have been better placed for making decisions on what crops to sow."

UK: Sulphur deficiency affects the yield and quality of malting barley

Sulphur deficiency can result in yield losses of 1t/ha or more in barley on susceptible, usually sandy, soils. Deficiency can also adversely affect some malting and brewing characteristics, according to HGCA’s latest report.

Sulphur deficiency has become more widespread and affects an increasing range of crops, which now includes malting barley, according to HGCA.

HGCA-funded trials carried out by Rothamsted Research,TAG, SAC and Newcastle University on winter barley in England and spring barley in Scotland and Northern England show that an application of 10-20kg S/ha on deficient sites is likely to correct deficiency and provide cost-effective yield responses.

Yield increases ranged from 0.2 to 1.2 tonnes/ha, with the rate of sulphur producing maximum yield typically ranging from 10 to 20kg S/ha, the results showed. “Sulphur deficiency has become more widespread and affects an increasing range of crops which now includes malting barley,” said HGCA director of research, Graham Jellis.

“Growers should locate their farm on a sulphur deficiency risk map to determine the likely risk of sulphur deficiency by location and soil type.
