Australia: Lion Nathan still in battle for Coopers
If the Lion Nathan, which is still fighting to make a hostile takeover of Coopers
brewery will be blocked from doing this, there were still other companies that could be
interested in acquiring Coopers shares a court heard on October 3, according to Asia Pulse.
Lion Nathan is seeking an injunction from the Federal Court of Australia to stop a
Coopers shareholders meeting on October 20 from considering a resolution removing Lion Nathan's pre-emptive rights
to buy Coopers shares.
The Coopers constitution states that the shares up for sale must
first be offered to another Coopers shareholder, secondly to AMP or any other Coopers employee
superannuation fund, and thirdly to Lion Nathan. Lion Nathan has launched a $A352 million ($US267.94
million) takeover bid for Coopers at $260 per Coopers share, which has been rejected by
the Coopers board.
Legal counsel for Coopers, Dick Whitington, said the court that there were
"other players" in the market, who were not brewers, who were potential bidders for Coopers
shares but they were being deterred by Lion Nathan's "gatekeeper role".

UK & Japan: Kent-based brewer Shepherd Neame is to produce beer for the largest brewer in Japan
The Asahi deal follows two years of talks and was unveiled as Shepherd Neame brewer
announced results for its 30th consecutive year of profit growth on October 4. But the
brewer saw beer sales fall in volume by 2.6%, partly because of its refusal to
sell Spitfire at lower prices to JD Wetherspoon.
The report on Tuesday said the company
was "not prepared to reduce prices of Spitfire to maintain volumes". However sales of draught
Spitfire to other customers increased by 10.5%, figures for the year showed.
Chief executive Jonathan
Neame said the firm's core brands, including Spitfire were "performing well", and Asahi Super Dry
was "an important addition" to the Shepherd Neame portfolio. In a final chairman's statement, Robert
Neame said: "The brewery can rightly be proud of having licensed brewing agreements for premium
brands with international brewing companies in India, Japan, China, Germany and Holland."
Mr Neame
is standing down as chairman at the company's annual meeting, but plans to stay as
a non-executive director until the end of June 2006. The company claims to be Britain's
oldest brewer, dating back to 1698, and has 367 pubs in London and across the
South East.

Russia: Tinkoff begins outsourcing property
Through selling off and leasing back its Moscow restaurant building, Tinkoff is freeing funds to
invest in development. Restaurant chain Tinkoff has sold one of its prime Moscow locations to
Troika Dialog Asset Management in a move to release cash for expanding its main business,
The Moscow Times communicated on October 4.
Under the deal, Tinkoff will lease back the
1,900-square-meter building on Protochny Pereulok near Smolenskaya metro station for a period of 10 years,
the two companies said on September 29. For Troika, the deal adds the restaurant to
the expanding portfolio of its Commercial Real Estate investment trust, a vehicle allowing investors to
buy a share in a portfolio of properties.
Financial details were not disclosed, but analysts estimate
the restaurant building is worth between $3.5 million and $6 million. "This is the first
deal of this kind in Moscow," Pavel Teplukhin, president of Troika Dialog Asset Management, said.
As the first restaurant to be sold and then leased back, the deal is something
of a trailblazer, said Anna Savenko, commercial real estate expert at Jones Lang LaSalle. Previously,

Namibia: Namibia Breweries posted profits decline for the financial year
Namibia Breweries Limited (NBL) revealed on September 29 mixed fortunes in the company's financial results
for the 12 months ended June 30 2005. Meanwhile, the top financial officer projected better
gains in the future, according to All Africa News. Shareholders' profit decreased significantly to N$21,4
million from N$40,2 million in the previous 17-month period.
NBL Group Financial Director Ciaran Duffy
was quick to attribute this fall to the shorter reporting period and said the result
was "negatively impacted by an increase in the provision for deferred tax as a result
of timing differences which had no cash impact".
Operating profit before depreciation went down to
N$73,7 million in the 12 months from N $114,6 million of the previous 17 months,
while operating profit was higher at N$39 million from N$36,8 million despite the fact it
was a shorter time.
However, finance costs were substantially higher in the period under review
at N$15,8 million compared to the previous 17 months at N$14,034 million, which then resulted
in a decrease in profit before taxation at N $22,2 million compared to the previous
period, when it stood at N$32,8 million.
