Colombia: SABMiller- Result of voluntary tender offer to acquire Bavaria S.A. shares in Colombia

SABMiller announced on December 6 at the closing of the voluntary tender offer on the Colombian Stock Exchange for all of the shares in Bavaria S.A. (“Bavaria”) which the SABMiller group does not already own (the “Offer”), acceptances had been received in respect of 62,375,024 shares in Bavaria, representing 25.19% of Bavaria's share capital, and increasing SABMiller’s interest in Bavaria from 71.77% to 96.96%.

The total cash consideration payable as a result of acceptances of the Offer is approximately US$1,215 million.

Settlement of the consideration will take place on 13 December 2005, and will be met from existing resources.

SABMiller plc is one of the world’s largest brewers with brewing interests or distribution agreements in over 60 countries across five continents. The group’s brands include premium international beers such as Miller Genuine Draft, Peroni Nastro Azzurro and Pilsner Urquell, as well as an exceptional range of market leading local brands. Finland: Sinebrychoff brings Baltika to Finland

The market leader of Russian beers, Baltika, entered the Finnish market in November, when Sinebrychoff begins the distribution of Baltika nr7, Sinebrychoff, the oldest industrial brewery in the Nordic countries, communicated in a press release on December 6. Baltika brewery’s fresh and full-flavoured flagship Baltika nr7 is a natural addition to Sinebrychoff’s imported quality beers. Foreign top brands from both the East and West are now available to Finns, as American favourite Budweiser is already a part of the Sinebrychoff selection.

Baltika was looking for a distributor in Finland, and our negotiations led to a positive result at the end of last summer. Singapore: Asia Pacific Breweries may buy 60% in Jaipuria JV

Asia Pacific Breweries (APB), the Singapore unit of Heineken, is to hold a 60% stake in its Indian JV with the CK Jaipuria Group, according to the sources.

The JV, in which the Jaipurias will hold the remaining 40%, is expected to move the FIPB once they strike a buyout agreement with a local brewery with a central industrial licence to facilitate FDI. CK Jaipuria and APB officials in Singapore refused to comment on the JV. ET was the first to report (on August 18) about APB mulling alliance with the Jaipurias to foray into the domestic beer market, The Economic Times commented on December 3.

The JV may have a shared management. Besides senior Jaipuria, his son Ruchir Hans Jaipuria has been actively involved in setting up the business. The Jaipurias are one of the largest soft drink bottlers in the country.

The 60:40 JV has been on the prowl to effect brewery acquisitions and has been in talks with potential targets in Rajasthan. The combine could also join the bidding process for Mohan Meakins, which is expected to kick-start shortly, though it could be a long drawn affair given the promoter family's disparate interests.

Netherlands: District court of The Hague announces verdict in home beer tap issue in summary proceedings

Heineken N.V. announced on December 1 that in a summary proceedings session, the provisions judge of the Court of The Hague ruled today that Heineken’s claim is rejected. He considered the issue too complex for a summary proceedings session. Hence, InBev and Philips are allowed to continue the sale of their home beer tap.

At the end of September, Heineken started an action on the merits and summary proceedings against InBev and Philips. The subject of the two actions was, among other things, the enforcement of a ban on the sale of the home beer tap system manufactured by InBev and Philips for the Netherlands. Heineken is of the opinion that the system (the home beer tap and the small kegs they use) violates various of the company’s patents on the technology incorporated in the BeerTender, the innovative home beer tap of Heineken and Krups. In anticipation of the action on merits, Heineken had started summary proceedings so as to protect its inventions.

Heineken is disappointed by the outcome of the proceedings and is studying the verdict to determine any next steps in due course.

Australia: Competition and Consumer Commission will not oppose Lion Nathan’s bid for Coopers

The Australian Competition and Consumer Commission (ACCC) stated it will not oppose Lion Nathan's 420 mln aud bid for privately held Coopers Brewery,AFX announced on December 5.

The ACCC announced that the evidence suggests that the removal of Coopers as an independent beer wholesaler would unlikely raise substantial competition concerns.

Whilst the ACCC recognised that Coppers' market share is increasing, including outside of South Australia, its market share remains small, and substantially smaller than the two major beer producers in Australia, Carlton United Breweries and Lion Nathan,' ACCC chairman Graeme Samuel said.

Mr.Rob Murray, Lion Nathan chief executive previously said the takeover bid is now only subject to conditions which are regulatory, with the offer of 310 aud per share substantially above all past pricing benchmarks for Coopers shares.

Following the ACCC's ruling, Murray welcomed the regulator's decision and removed further conditions from its offer, calling on the Coopers board to accept the offer.

'The Coopers board is on record stating that its key concerns were ACCC approval and the condition relating to the Coopers buy-back. Now these concerns no longer apply, we can see no reasonable basis for rejecting the offer,' Rob Murray stated.

EU: The court upholds EU commission cartel fine versus Brouwerij Haacht

Brewer Haacht must then pay the €270,000 fine imposed on it by the European Commission for cartel practices.

The EU's lower court has upheld the fine imposed by the European Commission on brewer Brouwerij Haacht NV for cartel activity, AFX News communicated on December 12. In making the ruling, the European Court of First Instance rejected the company's appeal for a reduction or annulment of the fine, set in 2001.

The court said in the judgment that the brewer 'demonstrated a degree of active participation in the cartel'. "As the applicant has been unsuccessful, it must be ordered to pay the costs, in accordance with the form of order sought by the Commission," ruled the Court of First Instance on December 6.

In a judgment originally delivered on Dec 5, 2001, the Court found that the brewer participated in a 'private label' cartel on the Belgian beer market -- providing beer for supermarkets to sell under their own brand name.

USA: Prairie Malt receives internationally recognized Organic Certification

Prairie Malt is continuing to expand the range of malt products and services available to its valued customers around the world through an organic designation, Cargill communicated on December 2. The consumer demand for organic products continues to increase and Prairie Malt is responding to this demand with an organic certification solution for its current and potential new customers.

Company officials received PML’s organic certification in early November 2005 for the processing of barley and wheat. PML and Cargill’s Specialty Malt Group will work together in providing such products to existing and potential customers.

“Prairie Malt Limited is committed to making the ongoing adjustments necessary to ensure farmers have alternative value-added markets for their crops and that our brewing customers’ interests and requirements for new products are fully satisfied,” said Jack Foster, Director of Procurement for Prairie Malt. “We are extremely excited about this achievement and look forward to growing our business as a result,” he noted.

World: Analysts about malt demand of international breweries

Large scale business, which started in October, continued in November, analysts report. In Venezuela, two large breweries, had finished their purchases in October, so did Ambev for their breweries in seven countries of Latin America.

In November the other Brazilian brewers followed covering approx. 250.000 tonnes inside Mercosur and from the EU. The price range was: EU 6row winter € 210,-/215,- and 2row spring € 225,-/230,- FOB EU ports.

Thailand confirmed purchases of 100.000 tonnes EU and 15.000 tonnes of Australian malt. EU prices were € 245,-/ 255,- CIF in bulk in container for 2rs and 2rw barley malt.

Korea had already bought 30.000 tonnes of Australian and Canadian malt in October. The No. 1 brewer followed in November, covering 90.000 tonnes of Australian malt at reported prices between US $ 300,- and 310,- CIF.

In Central America both Panama and Costa Rica purchased malt, Panama reportedly about 10.000 tonnes EU 2row spring barley malt at US $ 270,- FOB in bulk in container, Costa Rica Canadian malt at about US $ 310,- CIF.

World: Without barley from the EU there would be a deficit in the world market

World barley markets will remain tight in the 2005-2006 market year, analysts have recently commented. They said that without barley from the EU there would be a deficit in the world market, therefore EU offers, definitely without export refunds, will be a yardstick for all other origins. Maybe the large Australian crop will create temporary pressure, analysts siad.

Altogether feed barley prices will remain well above other feed grains: EU barley FOB seaport, US $ 137,-, Ukrainian barley FOB Black Sea US $ 132,-, optional origin barley CIF Mediterranean US $ 153,-/154,-, CIF Saudi-Arabia US $ 157,-/158,-. US Yellow Corn FOB Gulf port US $ 96,-, CIF Mediterranean 130,-/135,-, Ukrainian feed wheat FOB Black Sea US $ 109,-/112,-, CIF Mediterranean 135,-/145,-. (Feed wheat prices have firmed substantially in view of poorer crop prospects for 2006 in the Black Sea countries).

Slovenia: Hops Industry: history and nowadays

Hops have been cultivated in Slovenia for centuries. It is known that in 1156 hops were grown on the land of Bishop Nititabanorum de Lonca near Skofja Loka, according to Slovenian Hop Industry Association. The real beginning of hops growing in Slovenia and the Savinja valley was in 1870. At that time the most suitable variety for growing was a variety called Wuertenberg. 1886 is an important year for our (South Styrian) hops growing industry, namely that was the year when the growers Mr. Haupt and Mr. Hausenbiechler made their first experiments with the variety ‘Golding’. Trial crops were successful and hop growing spread its roots in the Savinja valley. The conditions in the valley were excellent for ‘Golding’ and the quality of crops could be compared to with that of all world producers. It was therefore not difficult to find a market for the crops. ‘Golding’ took the place of the Wuertenberg variety, which was later on - in 1928 - completely destroyed due to a downy mildew.

Nowadays, leading hops growing areas in Slovenia are the Savinja valley (Zalec), the Drava valley (Radlje), and the Sava valley (Brezice).
