UK & Poland: SABMiller's Polish subsidiary announces €65 mil brewer acquisition

SABMiller plc's Polish subsidiary, Kompania Piwowarska S.A. ("KP"), announces that it has agreed to acquire 99.96% of Browar Belgia Sp. z o.o ("Browar Belgia") from the Belgian brewer, Palm Breweries NV, according to SABMiller’s press release, August 3. The value of the gross assets to be acquired is approximately €65 million. The transaction is subject to the approval of the Polish competition authorities.

Browar Belgia operates one brewery situated in Kielce, South East Poland, and has an annual production capacity in excess of 1 million hectoliters. Its principal brands are Wojak, Gingers and Frater.

The investment will provide additional capacity necessary to keep pace with the growing demand for KP's products and the new Browar Belgia brewery will complement KP's existing manufacturing footprint.

Commenting on the acquisition, Mark Bowman, the Managing Director of Kompania Piwowarska SA said:

"We are optimistic about our future growth prospects and Browar Belgia provides us with expansion capacity without the need to develop a greenfield site."

Japan: Kirin, Sapporo cut forecasts as Japan drinks less beer

Kirin Holdings Co. and Sapporo Holdings Ltd., Japan's No.2 and No.3 beer makers, both lowered their full-year operating profit forecasts citing sluggish demand for beer, Reuters reported August 3.

Their downward revisions followed a forecast cut on Thursday by top brewer Asahi Breweries Ltd., underscoring a bleak outlook for the industry due to a declining population and a consumer shift to cheaper beer-like beverages.

Kirin said it now expects to post a group operating profit of 117 billion yen ($982 million)in the year to next March, down 3 percent from its previous forecast of 120 billion yen. The market consensus in a poll of 12 analysts by Reuters Estimates was also 120 billion yen.

Kirin has tried to reduce its reliance on the domestic beer market by diversifying its business portfolio and investing overseas, but its pharmaceuticals unit and overseas operations have failed to pick up the slack.

The maker of "Kirin Lager" and "Tanrei" said its domestic sales of beer and beer-like drinks declined 2.7 percent in volume terms during January-June, underperforming the industry, which suffered a drop of 1.9 percent.

Kirin said a big push by beer makers to launch new products may have backfired.

Czech Republic: Czech Antitrust Body approves Krusovice takeover by Heineken

Czech antitrust office UOHS said it has approved the takeover of Czech Krusovice Brewery by Heineken NV (HINKY), paving the way for the Dutch brewer to boost its Czech market share and add a local premium brand, Dow Jones & Company, Inc. reported August 7.

Heineken currently operates in the Czech market through its Austrian subsidiary Brau-Union AG. After the Krusovice takeover, Heineken's market share will be 8% from 5% currently.

It is buying Krusovice, locally known as the Royal Brewery of Krusovice founded in 1517, from German Radeberger Gruppe KG brewer.

Krusovice currently accounts for about 3% of domestic beer sales and brews some of the oldest Czech beer brands.

No financial details of the transaction were disclosed.

The Czech domestic beer market is dominated by Plzensky Prazdroj, a local unit of SABMiller PLC (SAB.JO), and Pivovary Staropramen AS, a unit of InBev (INB.BT).

With its latest acquisition Heineken is set to become the Czech market's fourth-largest brewer, after state-owned Budejovicky Budvar NP. Heineken already holds a significant Slovak domestic market share.


USA: Molson Coors reports higher net income and earnings per share for 2Q 2007

Molson Coors Brewing Company reported higher consolidated sales volume, net income and earnings per share for the Company's fiscal 2007 second quarter, in a press release, August 8.

Key results for the Company's fiscal second quarter ended July 1, 2007, compared to the fiscal second quarter ended June 25, 2006, include the following:

- Net sales increased 5.9 percent to $1.68 billion.
- Sales volume of 11.5 million barrels, or 13.5 million hectolitres (HLs), grew 0.7 percent; total Company sales to retail (STRs) down 0.7 percent. Canada STRs up 1.1 percent, U.S. STRs up 1.6 percent, U.K. STRs down 7.5 percent.
- Cost of goods sold increased 5.1 percent to $966.9 million.
- Marketing, general and administrative expenses rose 1.9 percent to
- $456.9 million.
- Net income was $185.0 million.
- Income from continuing operations (after tax) was $184.3 million.
- Excluding special and other one-time items, income from continuing operations (after tax) was $176.1 million, or $1.94 per diluted share, up 44.9 percent compared to $121.6 million, or $1.40 per diluted share, in the second quarter 2006. (See "Special and Other One-Time Items" and "Discontinued Operations" below.)

UK: Scottish & Newcastle announces its interim results for H1 2007

Scottish & Newcastle announces its interim results for the six months to 30 June 2007, in a press release, August 7.

Current trading and outlook

We made good progress during the first five months of the year in our key Western European markets but this was undermined by the severe weather conditions experienced in June. Those weather conditions continued into July, further impacting trading in these key markets. In addition, the effect of the brewery strike in France has also impacted performance in July. These markets have therefore experienced significant difficulties in two of our three key summer trading months. As announced on 1 August, our Russian business continued to grow very strongly for the half year. We are now forecasting beer market growth for 2007 in the range of 11%-13% for the whole of 2007 and we believe that we will maintain a positive share trend. Whilst we remain confident that our core businesses and brands will continue to compete strongly going forward, the aggregate effect of the factors described above will make the achievement of this year’s trading targets very challenging.

China & Russia: Baltika brews up expansion plans

Russia's largest brewer Baltika plans to double its sales in China this year, with projected growth of 10 times that figure over the next five years, China Daily reported August 7.

Baltika Breweries hopes to boost sales in the country from 240,000 liters in 2006 to 500,000 this year, according to its president, Anton Artemiev.

"It (Baltika's sales) can reach 5 million liters in five years' time at the current pace," said Artemiev. "When our market reaches 5 to 10 million liters here, we will consider producing locally in China by either building our own factory or through a license agreement with Chinese partners." All of Baltika's nine beer products sold in China are imported.

Tianjin Foodstuffs Import and Export Co Ltd is the sole distributor for Baltika. The beer goes to 400 bars and restaurants and retails at 10 to 35 yuan. The bulk of its sales are in Beijing, as well as Shandong, Shanxi, Heilongjiang and Henan provinces.

The company has market share of 37 percent in Russia. It plans to find more local partners to penetrate the eastern and southern regions of China, Artemiev said.

France & Ukraine: Leading malt firm MALTEUROP denies Ukrainian expansion rumours

Leading malt producer MALTEUROP group, via its Ukrainian subsidiary MALTEUROP Ukraine, is reportedly planning to invest in a new malt factory in the Vinnitsya region, according to Flexnews, August 7.

According to reports in the Russian press, the company is considering investing 30 million euro in the facility.

The funds would also be used to build a barley elevator. Once completed the plant would have a capacity to produce 100,000 tons of malt per year, said the reports.

After having been contacted by Flexnews, MALTEUROP Ukraine said that it did not want to comment on the rumours circulating in the Russian press.

However, a company spokesperson did say “MALTEUROP Group is a multinational company and is considering and analyzing many opportunities worldwide to extend capacities and obviously Ukraine could be one option for it”.

The spokesperson added that no concrete project exists for the time being and there has been no decision made regarding expansion as of yet.

World: International brewing companies are watching barley and malt markets nervously

Malt markets in July were active in different ways, market analysts commented. Domestic EU business for crop 2007 malt was limited, as most brewers must have covered their demand by now.

The U.K. reported some business, new crop malt is traded traditionally later in Great Britain than on the Continent. Export inquiries from traditional customers in Brazil, Venezuela and Thailand were partly serviced, another part is still being negotiated, or the malt must still be found.

Non-traditional customers from Eastern Europe, Asia and Latin America fared even worse, their request for malt offers, partly for delivery in 2007, could not be positively answered. No doubt, there is a lack of malt in the world for 2007 and 2008. International brewing concerns, which work part of their malt procurement on basis of LTA’s with open barley price basis, are watching barley markets and crops nervously.

Prices have risen constantly and have reached in some cases EUR 500,- per ton ex factory in the EU and even US$ 700,- ex works in North America. Prices, which looked unduly high on one day, became fully reasonable the next day in line with the rising barley markets.

The low world cereal harvest in 2006/07 and the steady rise in global cereal consumption led to extremely high cereal prices close to those seen under similar circumstances in 1996, The European Commission released in its report titled “Prospects for agricultural markets and income in the EU, 2007-2014”. The European Commission mentioned that these price increases were further reinforced by the biofuel boom in the US which influenced the markets only punctually, most notably the maize markets. The biofuel demand for cereals in the EU did not contribute to these developments since less than 1% of all cereals produced in 2006/07 were used for this purpose. As a result of the low harvest world cereal stocks in the main exporting countries are at low levels.

“The EU is expected to record two successive lower than average harvests in 2006/07 and 2007/08 which should clear most of the intervention stocks. The exceptionally high price level in the EU provided greater market fluidity in the land locked EU-10 Member States even in presence of very high transport costs. Thus market stocks fell to a very low level.

Canada: Barley production to increase by 25% in 2007-2008

Barley production for 2007-08 is forecast by Agriculture and Agri-Food Canada (AAFC) to increase by 25% to 12.0 Mt, close to the 10-year average, due to a larger seeded area, according to Grains and Oilseeds Outlook, August 7. Supply is expected to increase by 5% due to significantly lower carry-in stocks.

Exports are forecast to rise sharply, while domestic use is expected to be marginally higher. Carry-out stocks are projected to decrease by 13%. The average off-Board feed barley price (No. 1 CW I/S Lethbridge) is forecast to remain at a historically high level, but average marginally lower than in 2006-07, as the increased supply and strength of the Canadian dollar is expected to more than offset the support of slightly higher US corn prices.


EU: Farmers are using every dry minute to cut their fields

Weather improved somewhat and only temporarily, but farmers are using every dry minute to cut their fields, analysts’ report published on August 1st . Wet fields make it impossible for the heavy combines to enter fields in many places.

Winter barley harvests are finished in France and Germany, about 80 % done in England, well advanced also in Denmark. Results are similar everywhere: Yields down by 10 – 20 %, proteins higher than usual, but exceeding 12 % only in parts of France and Germany.

Spring barley harvest approaches the 60 – 70 % mark in France, somewhat less in Germany. The results are variable, on average disappointing as to yields, plumpness, and most of all protein contents. Prospects in the U.K. and Denmark, where harvesting of spring barley has just commenced, are definitely better.

The positive aspect of the whole barley crop in the EU is a good sanitary condition, in spite of all the precipitation in July.

Markets are: French 2rs barley, basis July FOB Creil EUR 275, FOB Moselle 285, 6rw barley EUR 30 - 35 lower. Danish and U.K. 2rs barley, October, FOB seaports are EUR 270, U.K. 2rw barley 235 – 240, German 2rs barley, October, delivered industries EUR 280 – 290.

For comparison feed barley markets are: basis July, delivered Rouen EUR 195, Sept –Dec, delivered Holland/Northwest Germany 213 – 118.
