Brewery news USA & Canada: Molson Coors Brewing announces public offering of US$2.35 bln of shares
Molson Coors Brewing Company announced on January 26 that it has commenced an underwritten public offering of US$2.35 billion of shares of its Class B Common Stock. In connection with the offering, Molson Coors also intends to grant the underwriters a 30-day option to purchase up to an additional US$235 million of shares of Class B Common Stock.

Molson Coors intends to use the net proceeds of this offering to fund the previously announced acquisition from Anheuser-Busch InBev SA/NV of SABMiller plc’s interest in MillerCoors LLC and all other assets primarily related to the Miller brand portfolio outside of the United States and Puerto Rico (the “Acquisition”), and to pay related fees and expenses of the Acquisition. The offering is not conditioned on the closing of the Acquisition. In the event that the Acquisition is not consummated, Molson Coors intends to use the net proceeds of this offering for general corporate purposes, which may include share repurchases, acquisitions or debt repayment.

UBS Investment Bank, BofA Merrill Lynch and Citigroup are acting as joint book-running managers for the offering. BMO Capital Markets, MUFG, RBC Capital Markets and Wells Fargo Securities are also acting as joint book-running managers for the offering.

Brewery news Hong Kong: San Miguel Brewery Hong Kong expects to incur consolidated net loss for 2015
San Miguel Brewery Hong Kong issued a profits warning on January 25 in a filing with the Hong Kong Stock Exchange, saying the Hong Kong arm of the Philippine-based company ‘is expected to incur a consolidated net loss for the year ended 31 December 2015’, Macau Business Daily reported.

The loss is justified by the non-renewal of distribution agreements with Anheuser-Busch InBev China and Anheuser-Busch InBev International GmbH & Co. KG, which represent such beer brands as Budweiser, Corona and Stella Artois. At the same time, the fact that the brand is no longer distributing some products has increased associated operating costs.

In the first six months of 2015, San Miguel Hong Kong recorded a loss of HK$14.6 million (US$1.87 million), while for the full year of 2014 it posted a net profit of HK$35.3 million. The consolidated results of the group are expected to be announced on February 4.

The Australian Competition and Consumer Commission has launched a formal investigation into the merger between global beer giants Anheuser Busch InBev and SABMiller, with key concerns including control over pub sales and the right to distribute Corona beer, The Australian reported on January 25.

The competition regulator has slated the inquiry to end on April 14, with submissions due on February 15.

Under scrutiny will be the impact of the massive merger deal on the structure and market share in Australia’s A$10 bln beer industry.

Anheuser-Busch InBev’s formal agreement in November to buy SABMiller set off a complicated, year-long process of winning regulatory approval around the world.

AB InBev will argue that as it has no direct market share in Australia, and although some of its beers such as Corona, Stella Artois and Budweiser are sold here via third-party distributors, its takeover of SABMiller will simply maintain its slot as the second-biggest brewer in Australia with a 39 per cent market share.

SABMiller controls Australia’s Carlton, Fosters and Victoria Bitter brands.

Brewery news India: United Breweries (Holdings) Ltd, Vijay Mallya seek legal representation for their wilful defaulters hearing
United Breweries (Holdings) Ltd and its chairman Vijay Mallya on January 22 approached the Delhi high court seeking legal representation at a hearing before a State Bank of India (SBI) panel where they would need to explain why they should not be declared wilful defaulters, Livemint reported.

“Without a lawyer’s assistance, I have been held to be a wilful defaulter. This amounts to breach of principles of natural justice,” Mallya said.

Rajiv Nayyar, counsel for United Breweries and Mallya, said denial of an opportunity to be represented by a trained legal representative at the hearing “would amount to miscarriage of justice”.

Justice Rajiv Sahai Endlaw said the Delhi high court may not be the correct forum to deal with the matter. “It appears that redressal for the grievance brought before the court has to be sought before the Bombay high court,” Endlaw said.

The case will be heard next on 1 February.

In November 2014, India’s largest lender, SBI, declared United Breweries, Kingfisher Airlines Ltd and Vijay Mallya wilful defaulters.

Kingfisher Airlines approached the Bombay high court, which allowed it legal representation before the redressal grievance committee, which will decide if it is a wilful defaulter.

Brewery news China: China ships beer to Tibet by train for the first time
For the first time, a cargo train loaded with over 1,000 tonnes of beer of a major Chinese brand has left for Lhasa, capital of China's Tibet Autonomous Region ahead of a major festival, the state media reported.

The freight train departed the east China coastal city of Qingdao for the remote Lhasa city in southwest China on January 22, the Ji'nan Railway Bureau said.

The train will spend seven days traveling more than 4,000 km, said Xing Fangmin, head of the Jiaozhou Railway Station, where the train started its journey.

Traffic on the Qinghai-Tibet Highway has been suspended due to snow, making the railroad a good way to transport goods to the plateau region.

It is also the first special cargo train to transport beer from Qingdao to Tibet, Xing was quoted as saying by Xinhua news agency.

The beer shipment is intended to fulfil demand during the Spring Festival in Tibet. All of the packages and bottles are printed in Tibetan characters, according to sources with the Tsingtao Brewery Co., Ltd., the manufacturer of the beer.


Brewery news Uganda: Newly launched low cost beer expected to create jobs for about 5,000 farmers
Proponents of the newly launched Ngule beer say the brand will create jobs for about 5,000 Uganda farmers by providing market for their produce, All Africa reported on January 24.

Uganda Breweries Limited (UBL) and Majestic Investments, the investment arm of Buganda Kingdom, last week officially signed an agreement to produce a low cost beer that, they say, will reduce on the level of illicit alcohol consumed on the market.

Speaking at the signing ceremony, Buganda Prime Minister Charles Peter Mayiga said the beer will create jobs for the farmers who grow cassava, one of the raw materials used in the production of the beer.

The partnership with UBL, he said, is aimed at promoting the income levels of the people and also address key social concerns like health of the people who cannot afford the expensive safe beer brands.

Mr Mayiga added that the true meaning of culture is reflected in the economic and social wellbeing of the people.

UBL managing director Nyimpini Mabunda said Ngule is the most affordable beer in its category which was a deliberate decision by the breweries to get more Ugandans to consume formal beer, thus moving away from the illegitimate, poor quality and potentially hazardous alcohol.
