USA & Canada: Molson Coors Brewing announces public offering of US$2.35 bln of shares
|
Molson Coors Brewing Company announced on January 26 that it has commenced an underwritten public offering of US$2.35 billion of shares of its Class B Common Stock. In connection with the offering, Molson Coors also intends to grant the underwriters a 30-day option to purchase up to an additional US$235 million of shares of Class B Common Stock.
Molson Coors intends to use the net proceeds of this offering to fund the previously announced acquisition from Anheuser-Busch InBev SA/NV of SABMiller plc’s interest in MillerCoors LLC and all other assets primarily related to the Miller brand portfolio outside of the United States and Puerto Rico (the “Acquisition”), and to pay related fees and expenses of the Acquisition. The offering is not conditioned on the closing of the Acquisition. In the event that the Acquisition is not consummated, Molson Coors intends to use the net proceeds of this offering for general corporate purposes, which may include share repurchases, acquisitions or debt repayment.
UBS Investment Bank, BofA Merrill Lynch and Citigroup are acting as joint book-running managers for the offering. BMO Capital Markets, MUFG, RBC Capital Markets and Wells Fargo Securities are also acting as joint book-running managers for the offering.

USA, VT: Foam Brewers to begin serving its beers in Burlington in April
|
A new brewery is coming to Burlington's waterfront with an expected grand opening planned for the spring of this year.
WPTZ-TV reports partners Todd Haire, Robert Grim and Sam Keane all quit their jobs to create Foam Brewers, which will begin serving new craft beers at its Lake Street location in April.
The group isn't strangers to the brewing industry, with Haire having worked at Magic Hat Brewing Co. for 13 years and Switchback Brewing Co. for four.
Grim says craft beer helps drive tourism in Vermont, which as a state has developed quite a name for itself to beer aficionados.
The group says the combination of a great location, good team and a strong brewing industry in Vermont should make for good business.

USA, MI: War Water Brewery purchasing new building for expansion in St. Clair
|
The center building of the St. Clair Riverview Plaza will be getting a face-lift in the coming year, The Times Herald reported on January 24.
Kris Paul, War Water Brewery owner, is slated to close on the purchase of building “C” of 201 N. Riverside Drive in downtown St. Clair by the end of March.
Paul plans on expanding his brewery to encompass a large-scale beer production facility. In addition, lofts or condos would be developed on the second floor of the building and retail space would be available for lease.
The production facility will include full canning lines to allow the beer to be canned and distributed for wholesale. Paul plans to produce 10,000 barrels of beer a year, eventually growing to produce 50,000 barrels a year. A barrel holds 31 gallons.
The current brewery opened this past summer with limited hours. The taproom will remain open until the new production facility and taproom is complete. War Water currently distributes to local bars and restaurants including Applebee’s in Port Huron, Lynch’s Irish Tavern and The Vintage Tavern, among others.

Canada, BC: Craft brewers unhappy by government setting the wholesale prices for their beer
|
Michael Kuzyk spends a lot of time on his feet. The owner of Category 12 beer is competing in one of British Columbia’s hottest industries, CBC.ca reported on January 23.
Craft brewing is also a fast moving field. Dozens of breweries entered the industry in 2015, including Kuzyk's. As those new beer makers arrived, so did a major change from the provincial government.
It used to be breweries could sell their product directly to private retailers or through their tasting rooms at a discount. But now the wholesale price is set by the government's own liquor distribution branch.
Bottom line, prices have gone up.
"We had this tectonic shift in the foundation of our business plan," Kuzyk said. "I don't think anyone really saw it coming. The direct impact — the cost of our bottles went up for the end user. Plain and simple."
The government now has to come clean about its role in the inadvertent price hike. Otherwise, the province's legions of beer fans are likely to unfairly place the blame on people like Kuzyk.
Before the changes came into effect on April 1, 2015, the government assured the public "to expect no significant change to product pricing." from the new rules.

USA, TN: TailGate Beer plans 10,000-square-foot expansion in Nashville
|
TailGate Beer owner Wesley Keegan is doubling down on his investment in Nashville with plans for a 10,000-square-foot expansion that will bring all beer production to the Charlotte Pike facility, The Tennessean reported on January 26.
Keegan plans to add a production brewery — complete with a canning line — capable of making 60,000 barrels of beer a year to the existing 16,000-square-foot brewery at 7300 Charlotte Pike, according to a news release.
TailGate currently produces about 1,000 barrels per year of small batch, experimental brews on-site. The brewery has a contract relationship with a production facility in Wisconsin to produce the canned beer that is sold at large retailers such as Wal-Mart, Kroger and Mapco.
The project is slated for a mid-2016 completion.
The announcement on January 26 is another sign Nashville's craft beer industry is thriving. The city is home to roughly one-third of all Tennessee breweries and is the biggest player in the state’s multimillion-dollar beer industry, according to the Brewers Association. In Middle Tennessee, there are about 15 craft breweries and more than half a dozen on the way.

Canada & USA: Quebec microbrewery working on US expansion

In business, opportunity often presents itself where you least expect it.
For Alexandre Jacob, it arrived during a beer-sampling visit last year to a small brewery in South Burlington, Vt., Montreal Gazette reported on January 22.
Jacob, 35, already owned a brew-pub in St-Georges de Beauce and was one of the four partners in Farnham Ale & Lager, a microbrewery that opened in 2013 in the town of Farnham, about an hour southwest of Montreal.
He said he regularly visited breweries in the northern U.S. to get a feel for the business there, because the goal was to get Farnham products into that market. The company actually exported to Maine on a small scale last year, and while its beers were well received, the costs of shipping and selling through an importer added too many layers to the retail price to make it financially viable.
At the brewery in Burlington, Jacob asked the employee who served him why the selection was so limited. She told him it’s because Infinity Brewing Co. was in the process of being wound down, after less than two years in operation.

USA, CO: Banded Oak Brewing getting ready to open in April or May in Denver

The rapid-fire opening of small brewery tap rooms may have slowed down in Denver, but don't tell that to Will Curtin and Chris Kirk, who have leased a tiny, former auto-body shop on Broadway where they will open a brewery dedicated to barrel-aged beers, Westword reported on January 26.
Located just a block from Baere Brewing and two blocks from TRVE Brewing, Banded Oak Brewing will total less than 2,000 square feet that will hold its tap room, its wooden barrels and its ten-barrel brewing system – which means the owners are going to have to be creative with the space. One way they're planning to do that is by placing their fermenters outside. Another is by building a large patio that will wrap around two sides of the brewery and include an indoor-outdoor serving window.
“We know it's small, but we wanted to keep overhead as low as possible,” says Curtin, who worked at Great Divide Brewing for five years, most recently as the tap room manager. Canada, ON: Lake of the Woods Brewing Company to branch into distilling, finalize new larger location for brewing by summer

Kenora's brewery is well known for its beer, but the owners of the Lake of the Woods Brewing Company hope to diversify their products in the coming months, CBC.ca reported on January 26.
The three-year-old brewery will expand into coffee roasting next month, creating what's called 'cold brew' coffee, and then branch into distilling.
Brewery president and CEO Taras Manzie said expanding into new products makes sense, as he needs a larger facility to just keep up with the demand for beer.
"We've been contract-brewing beer in cans for the last few months," he said.
"So, we brew at full time capacity here, and then the two that we have that are available in cans are brewed in the GTA."
Manzie said he's hoping to finalize a new location for a larger brewery by the summer.
Denise Lysak has been charged with setting up the roastery that would sell local coffees and 'cold brew.' Cold-brew coffee is steeped in small batches in room-temperature or cold water for several hours. The result is a potent drink that drinkers claim goes down smooth.

USA, IA: SingleSpeed Brewing Company to open second location in Waterloo

An iconic building in downtown Waterloo, IA is set to bring new life to the area, kwwl.com reported on January 23.
Hostess closed its doors in 2012 after the company went bankrupt.
While some stores reopened, the Waterloo bakery did not.
Now, a nearly $6 million preservation project is up and running in downtown Waterloo.
SingleSpeed Brewing Company in Cedar Falls plans to expand their operation.
Organizers say they will add jobs and bring new life to the area while embracing the community's rich history.
The project is up and running.
Cedar Falls SingleSpeed Founder, David Morgan, said that with a little hard work he plans to bring new life to Waterloo.
"Once I got the feel of not only what's in this building, but what's around this building we knew it had the real potential to be a real natural fit. We think it will be a really nice piece as this part of town continues to develop," Morgan said.
Since Dave and his team are trying to preserve the Wonderbread building, they have to make sure walls, floors, and even doorways are maintained to preserve the building's rich history.

USA, AR: Rebel Kettle Brewing aiming for grand opening in March

More and more breweries are popping up all over Arkansas, and another one is coming to east Little Rock this spring, THV 11 reported on January 26.
Rebel Kettle Brewing focuses on specialty and small batch beers. Their motto - "Rebel at heart, Rebel in hand."
The brewery is located on East 6th Street in Little Rock. Brewing has begun, and they're aiming for a grand opening in early March.

USA, PA: Levity Brewing launches in Indiana

Another regional brewpub got its wings on January 22 when Levity Brewing Co. in Indiana, Pa., passed its final state Liquor Control Board inspection and started selling growlers of draft beer to go, Pittsburgh Post-Gazette reported.
The three partners in the project won’t be able to sell pints to drink on the premises until their sprawling space in a former window plant at 1380 Wayne Ave. gets its occupancy permit, but they say that should happen soon. Nearly three years in the making (and it felt longer to them), the brewery is the first since 1939 in Indiana, the birthplace of actor Jimmy Stewart.
“We’re breathing breaths of release,” says Erich Walls, who’s running the brewery and taproom with Jared Herman and Luke McKelvy. All of them have quit their day jobs or, as Mr. Walls puts it, “We dove in.”
For now, growlers-to-go hours are 12:30-7 p.m. Saturdays, 1-5 p.m. Sundays, 4-7 p.m. Wednesdays, 4-9 p.m. Thursdays and 3-9 p.m. Fridays. USA, OH: Construction of Nine Giant Brewing facility underway in Cincinnati
|
One of Cincinnati's newest breweries is under construction with plans to be open by this spring, Cincinnati Business Courier reported on January 22.
Nine Giant Brewing signed a lease at the corner of Montgomery and Ridge roads in January 2015, and construction is now underway. Co-founder Brandon Hughes is aiming to open at the site by May.
"We wanted to build something focused on the tap room experience rather than distribution," Hughes said. "We found a Goldilocks zone of being not too big but not too small."
Hughes said construction is about halfway complete. The brewery has received federal licensing but is still waiting on its state certification.
Rather than take space in an industrial zone to keep rent low, the Nine Giant founders wanted to be part of a community. Hughes said he's not particularly interested in distributing kegs or cans all over the city but would rather focus on the brewpub experience.
"We built a business we think is viable without having to sort of play in that arena. I think that space is getting a lot more crowded," he said. "What we like about the craft beer scene is the tap room experience and going in and being able to find beers

Hong Kong: San Miguel Brewery Hong Kong expects to incur consolidated net loss for 2015

San Miguel Brewery Hong Kong issued a profits warning on January 25 in a filing with the Hong Kong Stock Exchange, saying the Hong Kong arm of the Philippine-based company ‘is expected to incur a consolidated net loss for the year ended 31 December 2015’, Macau Business Daily reported.
The loss is justified by the non-renewal of distribution agreements with Anheuser-Busch InBev China and Anheuser-Busch InBev International GmbH & Co. KG, which represent such beer brands as Budweiser, Corona and Stella Artois. At the same time, the fact that the brand is no longer distributing some products has increased associated operating costs.
In the first six months of 2015, San Miguel Hong Kong recorded a loss of HK$14.6 million (US$1.87 million), while for the full year of 2014 it posted a net profit of HK$35.3 million. The consolidated results of the group are expected to be announced on February 4.

Australia: The Australian Competition and Consumer Commission launches formal investigation into AB InBev and SABMiller merger

The Australian Competition and Consumer Commission has launched a formal investigation into the merger between global beer giants Anheuser Busch InBev and SABMiller, with key concerns including control over pub sales and the right to distribute Corona beer, The Australian reported on January 25.
The competition regulator has slated the inquiry to end on April 14, with submissions due on February 15.
Under scrutiny will be the impact of the massive merger deal on the structure and market share in Australia’s A$10 bln beer industry.
Anheuser-Busch InBev’s formal agreement in November to buy SABMiller set off a complicated, year-long process of winning regulatory approval around the world.
AB InBev will argue that as it has no direct market share in Australia, and although some of its beers such as Corona, Stella Artois and Budweiser are sold here via third-party distributors, its takeover of SABMiller will simply maintain its slot as the second-biggest brewer in Australia with a 39 per cent market share.
SABMiller controls Australia’s Carlton, Fosters and Victoria Bitter brands.

India: United Breweries (Holdings) Ltd, Vijay Mallya seek legal representation for their wilful defaulters hearing

United Breweries (Holdings) Ltd and its chairman Vijay Mallya on January 22 approached the Delhi high court seeking legal representation at a hearing before a State Bank of India (SBI) panel where they would need to explain why they should not be declared wilful defaulters, Livemint reported.
“Without a lawyer’s assistance, I have been held to be a wilful defaulter. This amounts to breach of principles of natural justice,” Mallya said.
Rajiv Nayyar, counsel for United Breweries and Mallya, said denial of an opportunity to be represented by a trained legal representative at the hearing “would amount to miscarriage of justice”.
Justice Rajiv Sahai Endlaw said the Delhi high court may not be the correct forum to deal with the matter. “It appears that redressal for the grievance brought before the court has to be sought before the Bombay high court,” Endlaw said.
The case will be heard next on 1 February.
In November 2014, India’s largest lender, SBI, declared United Breweries, Kingfisher Airlines Ltd and Vijay Mallya wilful defaulters.
Kingfisher Airlines approached the Bombay high court, which allowed it legal representation before the redressal grievance committee, which will decide if it is a wilful defaulter.

China: China ships beer to Tibet by train for the first time

For the first time, a cargo train loaded with over 1,000 tonnes of beer of a major Chinese brand has left for Lhasa, capital of China's Tibet Autonomous Region ahead of a major festival, the state media reported.
The freight train departed the east China coastal city of Qingdao for the remote Lhasa city in southwest China on January 22, the Ji'nan Railway Bureau said.
The train will spend seven days traveling more than 4,000 km, said Xing Fangmin, head of the Jiaozhou Railway Station, where the train started its journey.
Traffic on the Qinghai-Tibet Highway has been suspended due to snow, making the railroad a good way to transport goods to the plateau region.
It is also the first special cargo train to transport beer from Qingdao to Tibet, Xing was quoted as saying by Xinhua news agency.
The beer shipment is intended to fulfil demand during the Spring Festival in Tibet. All of the packages and bottles are printed in Tibetan characters, according to sources with the Tsingtao Brewery Co., Ltd., the manufacturer of the beer.

Uganda: Newly launched low cost beer expected to create jobs for about 5,000 farmers

Proponents of the newly launched Ngule beer say the brand will create jobs for about 5,000 Uganda farmers by providing market for their produce, All Africa reported on January 24.
Uganda Breweries Limited (UBL) and Majestic Investments, the investment arm of Buganda Kingdom, last week officially signed an agreement to produce a low cost beer that, they say, will reduce on the level of illicit alcohol consumed on the market.
Speaking at the signing ceremony, Buganda Prime Minister Charles Peter Mayiga said the beer will create jobs for the farmers who grow cassava, one of the raw materials used in the production of the beer.
The partnership with UBL, he said, is aimed at promoting the income levels of the people and also address key social concerns like health of the people who cannot afford the expensive safe beer brands.
Mr Mayiga added that the true meaning of culture is reflected in the economic and social wellbeing of the people.
UBL managing director Nyimpini Mabunda said Ngule is the most affordable beer in its category which was a deliberate decision by the breweries to get more Ugandans to consume formal beer, thus moving away from the illegitimate, poor quality and potentially hazardous alcohol.
