The Philippines: San Miguel to combine its food, beer and liquor units into a single entity
|
Philippine conglomerate San Miguel on November 6 said it would combine its food, beer and liquor units into a single entity under a 336.35 billion pesos ($6.55 billion) share-swap transaction, the Nikkei Asian Review reported.
In a stock exchange filing on November 6, the Philippines' largest company by revenue said it would fold San Miguel Brewery and liquor maker Ginebra San Miguel into San Miguel Pure Foods, which sells poultry and dairy products, processed meat and animal feeds. San Miguel Pure Foods will be renamed San Miguel Food and Beverage.
San Miguel will subscribe for 4.24 billion additional common shares in San Miguel Pure Foods after the latter increases its authorized capital stock to 11.6 billion common shares from 2.06 billion.
The conglomerate will pay for those shares with 7.86 billion common shares in San Miguel Brewery and 216.97 million common shares in Ginebra.
The transactions together are worth 336.35 billion pesos, San Miguel said, citing an independent valuation provided by ING Bank. It represents six times the market capitalization of San Miguel Pure Foods. It also eclipses that of Universal Robina, a unit of JG Summit Holdings, which is currently the most valuable food and beverage company in the Philippines with a market

Ireland: Ireland’s tax system blamed for higher Guinness price
|
A pint of Guinness is 66 per cent cheaper in Spain and 21 per cent cheaper in the UK — with Ireland’s tax system blamed for its sky-high prices, The Irish Sun reported on November 8.
Economist David McWilliams is on a mission to find out why Ireland is so expensive compared to our EU counterparts, with everything from booze to buses costing more in Ireland than in other nearby countries.
In his new TV3 series, McWilliams examines exactly why the cost of living is so high in Ireland.
He said: “Why do Irish people, at the end of the month, feel like they’ve been fleeced? Why do people go away and constantly look at the price of things and wonder why it costs so much more here?
“Basic economics will tell you that when you make a product in Dublin at St James’ Gate, it gets more expensive the further away you go because of transport costs. But that’s not the case.”
Looking specifically at the cost of a pint of the black stuff, McWilliams found that it’s 66 per cent cheaper in Spain, 21 per cent cheaper in the UK, 15 per cent less in Germany, and 12 per cent less in Belgium.

UK: Diageo warns new tax hike could trigger another downturn in Scotch whisky sales
|
The British boss of Diageo has warned the Government against triggering another downturn in Scotch whisky sales by serving up a tax hike in this month’s Budget, The Express reported on November 6.
Charles Ireland, general manager for Great Britain, Ireland and France, said the move would be counterproductive because Treasury takings from Scotch fell when the Chancellor imposed a 3.9 per cent tax rise earlier this year.
Sales of the spirit dropped by one million bottles in the first half of 2017 following March’s tax rise, which pushed the duty on an average bottle to 80 per cent.
Mr Ireland, who has worked at the Bell’s-to-Johnnie Walker group for 20 years, said the “unfair” levy not only harms the domestic market, but hampers its overseas business by encouraging countries to impose harsher tax regimes.
Mr Ireland said: “The spirits market suffered a downturn when the last increase happened and that there would be another downturn if the tax increased in the next Budget.
“On top of that, it will make it more difficult for us to argue against increases and unfair treatment overseas. I think there is both a domestic impact for our industry and an international impact for our industry.”
