Brewery news The Philippines: San Miguel Corp. to issue first tranche of P50-billion fixed-rate bonds next month
San Miguel Corp. (SMC) said that it will be issuing the P30-billion first tranche of its shelf-registered P50-billion fixed-rate bonds next month, BusinessWorld Online reported on June 22.

The first tranche consists of P20-billion fixed-rate bonds, with an oversubscription option of up to P10 billion. It is comprised of six-year Series I bonds due 2027 with a 3.3832% per annum rate with a put option or repricing on the third year and optional redemption on the fourth year or the fifth year.

“The bonds will be listed in the Philippine Dealing & Exchange Corp. on the issue date, July 8, 2021,” SMC said in a disclosure to the stock exchange on June 22.

Meanwhile, the offer period will run from June 22 until June 28 at 5 p.m., or any other date agreed between San Miguel and its joint lead underwriters and bookrunners.

San Miguel received approval for the registration statement of the company’s shelf-registration of P50-billion fixed-rate bonds and the permit to sell the first tranche from the Securities and Exchange Commission dated June 21.

Brewery news Singapore: ThaiBev yet to review proposed spin-off listing of BeerCo
Thai Beverage has yet to review the proposed spin-off listing of BeerCo after the plan was deferred last 16 April, the Singapore Business Review reported on June 22.

The company deferred the listing over uncertain market conditions and volatile outlook, worsened by the pandemic that hit Thailand.

“ThaiBev continues to believe that BeerCo's position as one of the leading beer players in Southeast Asia and its growth potential offer a distinct and compelling growth story,” the company said in response to queries.

The company said it is closely monitoring market conditions and explore opportunities.

“The Proposed Spin-off Listing will be reviewed at the appropriate time by ThaiBev with its advisors,” the company also said.

It has yet to determine the offer price for the initial public offering as well as whether ThaiBev shareholders will be allowed to participate directly or indirectly in the IPO.

The company noted the use of proceeds may also differ from what was initially announced last February.

“ThaiBev continues to maintain the view that the Proposed Spin-off Listing, at the appropriate time and under the right circumstances, would be in the interests of Shareholders.”


Brewery news India & the Netherlands: SEBI exempts Heineken from open offer obligation in United Breweries case
The Securities and Exchange Board of India (SEBI) on June 22 granted an open offer exemption to Heineken International for acquiring additional stake in United Breweries, CNBC TV reported.

According to SEBI, Heineken International had sought exemption from an open offer on June 7 and June 20, which was for a proposed acquisition of a maximum 3.96 crore equity shares (14.99%) of United Breweries.

Heineken International currently holds about 9.28 percent stake in United Breweries and after the proposed transaction, its stake will go all the way up to 24.27 percent.

The matter was referred to the panel of experts (takeover panel) by SEBI. Since the recovery officer was in possession of the shares pursuant to the order of Debt Recovery Tribunal and the applicant (Heineken International) is already a promoter and is in control of the company, SEBI’s takeover panel advised in favour of granting an open offer emption.

SEBI’s takeover panel also considered giving Heineken International an exemption from open offer requirement in light of public interest since the transaction would also help public sector banks recover their dues.

Brewery news Spain: Mahou San Miguel the beer of choice across most regions in Spain
During 2020 and the coronavirus pandemic beer consumption fell in Spain although many people tested out what was the best beer at home, the Euro Weekly News reported on June 22.

The ongoing coronavirus pandemic saw beer consumption fall by two litres per person in 2020, and come in at a still staggering 50 litres each. While the hospitality industry saw their businesses hit, beer consumption at home soared.

Spaniards drank a staggering 20.4 million hectolitres of beer which had been bought in shops and supermarkets across Spain to be drunk in the comfort of people’s own homes.

The Spanish Brewers’ Association reports that 83.4 per cent of adults in Spain drink beer, and this is just the percentage of those that admit to it.

Spain has many different beers of exceptional quality and the sales battle is on between the brands in the different autonomous communities. Each autonomous community in Spain seems to have their own preferred beer.

Madrid sees Mahou as the beer of choice while in Galicia, first choice has to be Estrella.

Hops news UK: Farmers and brewers team up to explore hop varieties for sustainable beer market
Farmers and brewers are teaming up to begin a three-year trial to identify disease resistant hop varieties to feed UK demand for low-impact beer, FarmingUK reported on June 22.

Brewers and hop merchants say demand for environmentally friendly beer and locally-sourced ingredients has accelerated since the pandemic.

But there is a lack of UK-grown organic hops, with currently only three such growers supplying the market.

Hops are notoriously vulnerable to disease and pests in the UK’s temperate climate, leaving conventional growers heavily reliant on a dwindling number of agro-chemicals, and organic growers facing two-in-five crop failures.

To tackle this issue, the field lab, run through the Innovative Farmers programme, is bringing hop growers together with the Organic Research Centre to co-design practical on-farm research.

“UK-grown organic hops are very difficult to get hold of," said Greg Pilley, field lab coordinator and founder of Stroud Brewery, one of only five dedicated organic breweries in the UK.

"The challenge of growing them is the largest barrier to increasing production of UK organic beer.

“By collaborating as a supply chain, we’re aiming to identify varieties that farmers can grow more confidently.

Whisky news India: United Spirits launches premium craft whisky
Liquor major United Spirits Ltd. (USL), owned by British Diageo Plc, has launched United’s Epitome Reserve - a premium craft whisky that sets the stage for the company’s entry into the craft spirits market that has gained popularity among India’s young, urban tipplers, Livemint reported on June 21.

Epitome Reserve is priced at par with USL’s high-end imported scotch whiskies, the company said. These bottles are available on request or in very select premium outlets. Only 2,000 such bottles are available in the first batch.

Epitome Reserve is a small batch, craft, artisanal whisky made of 100% rice. It is also the most premium Indian whisky sold by USL in the country.

The launch is set to capitalise on growing demand for premium spirits and locally crafted spirits in India, said Deepika Warrier, chief marketing officer, Diageo India.

“Over the last year and a half, we've seen that consumers—in the absence of being able to travel or socialise or go out and have the best food and beverage experiences—have been experimenting with premium spirits at home with do-it-yourself or DIY experiences. That has become part of small, intimate celebrations and they are just savouring and experiencing new kinds of liquids," Warrier said.
