South Korea: Carlsberg sells stake in Hite Brewery in order to reduce debt

Carlsberg announced on November 2 that it reduces its holding of Hite Brewery Co. Ltd. ("Hite") and receives net proceeds of approximately DKK 1.9bn that will be used to reduce Group debt.

The sale will result in a profit of approximately DKK 1.2bn that will be offset by impairment of goodwill and other non-cash items.

Carlsberg announces the placement in the market of a 11.9% stake in Hite Brewery Ltd. Co. South Korea. Carlsberg has effectively sold 2,276,052 shares for a net cash consideration of approximately DKK 1.9bn.

Carlsberg initially invested in Hite in 1999 and prior to the above mentioned transaction held a stake of approximately 25%. The investment was accounted for as an associate and as such its results were included in consolidated EBIT. In 2004 Hite contributed DKK 135m after tax to Carlsbergs EBIT.

Following completion of this sale, the remaining 13.1% of Hite owned by Carlsberg will be accounted for as a financial investment which, based upon the price achieved in the placement, has a market value of approximately DKK 2.2bn.

The Wolverhampton & Dudley Breweries announced on December 2 its preliminary results for the year ended 1 October 2005 stating that it is at the heart of thriving local communities across the country with over 2,000 pubs offering a welcoming environment and good value

● Record underlying* earnings per share up 11.3% to 84.4 pence (2004: 75.8 pence) - basic earnings per share of 44.3 pence (2004: 66.7 pence).
● Total dividend for the year up 10.0% to 38.86 pence per share (2004: 35.32 pence).
● Underlying profit before taxation up 16.0% to £90.1 million (2004: £77.7 million). Profit before taxation and after goodwill and exceptionals £47.9 million (2004: £70.2 million).
● The Union Pub Company like-for-like sales up 2.8%. ● Pathfinder Pubs like-for-like sales up 2.8%.
● Turnover and profit growth was achieved in each of the three trading divisions.
● Successful integration of Burtonwood PLC, Jennings Brothers PLC and English Country Inns PLC ahead of schedule with expected synergy benefits exceeded.
● Successful refinancing of the Group’s debt through a £805 million securitisation in August 2005.

Belgium: InBev announces intention to restructure Belgian organization

InBev Belgium, a subsidiary of InBev announced on November 30 the conclusions of its study into the efficiency of its activities and processes, resulting in the intention to restructure its organization.

The study aimed at identifying ways to optimize InBev Belgium’s activities. The study concludes that three types of activities would be subject to restructuring: production and logistics, marketing/sales/distribution and the supporting services. The changes under consideration are designed to result in a stronger focus on the core activities, and also in cost savings, which would in turn result in added value, quicker decision-making and improvements to efficiency, service and quality.

The proposed changes would have consequences for employment at InBev Belgium. Today, the concerned works councils have been informed of the changes under consideration and the possible impact on employment. In total a maximum of 232 employees would be involved in a redundancy procedure out of a total of 2898 InBev Belgium employees. However, InBev Belgium expects to be able to avoid at least 67 redundancies by transferring employees to functions within the new organizational structure.

Canada: Russell Breweries Inc. announces first quarter results revenues increase 141% vs. previous

Revenue for the first quarter of fiscal year 2006 increased 141% to $316,909 from revenue of $131,390 in the comparable period of the previous year. The Company had a net loss for the three month period ending September 30, 2005 of $46,505 or $.01 per share.

"We met our sales targets again this quarter” said Andrew Harris, President, COO. “This is our seventh quarter of consistent growth at a rate which we believe is far ahead of anyone else in the craft segment of the beer market in Canada. We believe this growth is remarkable considering that we only supply our beer in draught at this time.”

Australia: Lion Nathan waives key conditions to its hostile bid for Coopers

Lion Nathan Ltd ,46 % owned by Japan's Kirin Brewery ,stated it has waived key conditions attached to its 420 mln A$ bid Coopers Brewery, AFX announced on November 30. Lion Nathan chief executive Rob Murray said the offer is now only subject to conditions which are regulatory.

The CEO said the offer of 310 A$ per share is substantially above all past pricing benchmarks for Coopers shares and is at the midpoint of an independent expert's valuation range.Murray stated it is now in the best interest of Coopers' 117 shareholders that their board recommend acceptance of the offer.

Bulgaria: Carlsberg Bulgaria to invest 30 mln levs in the building of its factory in Blagoevgrad

Carlsberg Bulgaria, the Bulgaria's no.3 beer maker, has invested 30 mln levs in the building of its factory in Blagoevgrad, the executive director Alexander Grancharov stated on November 30 when the company launched the redesigned bottle of its Pirinsko Pivo brand, according to Bulgarian media .

Carlsberg Bulgaria announced it will aim to increase the market share of the Pirinsko Pivo brand from the current 7% to 10% in 2006. The company will try to leverage Pirinsko Pivo's strong market presence in South-western Bulgaria, where it holds 75% of sales, into a better nation-wide brand awareness the same way it did with the Shumensko Pivo brand.

The total market share of Shumensko Pivo and Tuborg is 12-13%. Carlsberg Bulgaria sold 799,000 hectoliters of beer in January-October, ranking third behind InBev-owned Kamenitza AD with 1.305 mln and Heineken-owned Zagorka AD with 1.238 mln, shows data of the Union of Brewers in Bulgaria. USA: International Malting Company to close its Chicago malt plant

International Malting Company - US plans to close its Chicago malt plant.The Company expects that manufacturing activities will conclude by December 31, 2005, with shipping to continue into the early part of 2006, after which all activity will cease. The closure is expected to affect 35 hourly and salaried employees.

This was a very difficult decision for the Company to make, and the decision in no way reflects upon the quality of the workforce. Several factors made the closing of the Chicago plant necessary to ensure the long-term competitiveness of the Company. The Company appreciates the hard work of all employees over the years at this facility.

The Company has negotiated a shut down agreement with the Union and will be extending severance and outplacement services to all of the Chicago employees.

The Chicago malthouse produced about 125,000 MT on an annual basis. IMC will continue to produce and market over 500,000 MT of barley malt products from its three facilities located in Milwaukee, Wisconsin; Winona, Minnesota; and its new plant in Great Falls, Montana.

Canada: CWB announces barley final payments for 2004-05 crop year

The Canadian Wheat Board (CWB) will send farmers final payments for feed and designated barley as well as for the wheat, durum wheat, they delivered to the CWB during the 2004-05 crop year over the next week (49), CWB announced on December 1. These final payments represent the balance of the money owing to farmers after their grain has been marketed through the CWB, and after operating costs have been deducted.

This is the fifth year the CWB has issued final payments before mid-December. The earlier issue date was established to respond to farmers' cash flow needs. Direct deposit payments will be credited to farmers' accounts on December 6. Final payment cheques will be dated December 6 and mailed December 9.

Final payments, in dollars per tonne, for the base grades in each pool account are listed below. The total payment is based on the value of grain in store at Vancouver or the St. Lawrence.

Australia: Grain growers revolted on ABB Grain for getting low prices for their crop

South Australian barley growers state they are getting the lowest cash prices for their crop of any state in Australia. In the past week, ABB Grain has quoted $171 a tonne for the state's malt barley - $21 below the WA price, ABC announced on December 1.

The grain growers are accusing ABB's single desk, which is the only one left in Australia, as well as a lack of competition.

"I'd like to see what's happening with WA, there's some fantastic prices coming out of of WA, albeit in fairness to ABB there many be a freight advantage out of Fremantle but there's more than that at issue, where there's competition there's higher prices, I'm getting sick of it," a grain grower said.

"I was all for the single desk but I think they're underperforming that much that I think everyone will have another look at it and change their mind on the single desk," another grower said.

ABB did not release any comment to this.

Russia: Overview of hop market situation in Russia

With 8 hop-growing cooperatives discontinuing hop production, only 78 hop farms remained in crop year 2004. The average hop acreage farmed by each production cooperative fell from 7.3 ha to 7.1 ha , according to the Barth Report of June 2005.

The hop acreage declined by 12%. The average yield for the aroma varieties rose slightly year on year, while the bitter varieties produced a significantly better yield. The predominantly grown aroma variety Ranny yielded an alpha content of 3.8%, well below the yield produced in 2003 (4.2%). The bitter varieties Smolisty, Podvyazny, and Istrinsky were on a par with the previous year, averaging 5.6%

At the end of April 2005, it was reported that 30 mt from the 2004 crop remained unsold. A reduction in acreage of about 10% to approx. 500 ha is expected for 2005.
