0 Australia: Shareholders of Coopers Brewery Lion remove Nathan Ltd.

Shareholders of Australia's Coopers Brewery have voted to remove Lion Nathan Ltd.'s pre-emptive rights over its shares, derailing a A$420 million ($315 million) hostile bid from Lion Nathan for the unlisted brewer, Reuters communicated on December 14.

Lion Nathan's pre-emptive rights had entitled it to be offered shares that come up for sale in the brewer, after they are first offered to existing shareholders and pension fund interests.Coopers said the proposal to remove Lion Nathan's rights was supported by 93.42 % of the shares voted at a special meeting on Wednesday in Adelaide.

The rights had also exempted Lion Nathan from a rule in the Coopers constitution that prevents the sale of shares to a competitor. Removal of the rights effectively halts its A$310 per share bid, raised last month from A$260 per share.

But Lion Nathan said a range of legal action underway could leave the door open for it to pursue a takeover of the maker of Coopers Sparkling Ale and Coopers Original Pale Ale.

0 South Korea: Carlsberg may sell its remaining shares in Hite Brewery

Danish beer giant, Carlsberg A/S, may sell its remaining shares in South Korea's largest beer maker, Hite Brewery Co., valued at $360 million, and asked the Korean firm to buy them back, a Hite executive told Reuters on Sunday, December 11.

The possible sale comes after the world's sixth-biggest brewer sold around half of its stake in Hite, South Korea's top beer maker, on December 2 in a deal generating net proceeds of about 1.9 billion Danish crowns.

After that sale, Carlsberg's ownership was cut to 13.1 percent, which had a market value of 372.2 billion won based on Friday's closing price.

"With the share price of our company soaring, Carlsberg appears to want to sell them, given its difficult financial situation," the official said by telephone, declining to be named. "We have not decided whether to buy them back or not."

Shares in Hite have climbed 73 percent so far this year, fueled after a consortium led by the company bought top local liquor maker Jinro Ltd. in June. The recent share sale was priced at 142,000 won each, a 4.1 percent discount to Hite's closing price a day earlier, sources close to the matter had said.

Scottish and Newcastle plc announced on December 12 that Sunday's massive oil depot fire at Hemel Hempstead has affected the main distribution centre for its subsidiary, Waverley TBS (WTBS) - the UK wines and spirits wholesaler.

Scottish and Newcastle said: “At the present time we have been unable to access the site but we are relieved that none of our people has been injured.

We believe that WTBS will have incurred significant asset losses but we believe that all asset and subsequent trading losses will be fully recovered from our insurers.

Our principal concern is to support our customers at this critical time. Enormous efforts have been made to minimise the inevitable disruption and we are extremely grateful to all our staff and suppliers for their support thus far.”
